Carl Roston is co-chair of Akerman’s M&A and Private Equity Practice. He represents private equity funds, public and private companies, and large family offices in connection with structuring and negotiating complex domestic and international business transactions, including mergers and acquisitions, leveraged buyouts, recapitalizations, going private transactions, joint ventures, co-investments, venture capital and growth capital investments, debt and equity financings, and securities offerings. In addition, he regularly represents portfolio companies of private equity clients and other companies with respect to all of their corporate transactions, and effectively serves as their outside general counsel. Carl also represents investors and companies in a broad variety of distressed corporate situations, including out of court and in court distressed acquisitions (including under Section 363 of the Bankruptcy Code), investments, restructurings, recapitalizations, reorganizations, and workouts.
He represents clients in a variety of industries, including private equity, aerospace, aviation, defense, technology, telecommunications, software, distribution, manufacturing, retail, insurance, energy, financial, and business services. His clients include the leading global manufacturer of aircraft passenger cabin interior products, a leading global aviation fastener distributor, a global designer, manufacturer, and supplier of aerospace, defense, and electronic-related products and services, a consolidator of domestic oil services companies, the largest branded manufacturer of tobacco in its category in North America, large regional retailers and distributors across the country, leading middle market private equity funds, and a global leader in private markets investing with more than $190 billion under management and advisement.
