All visitors to the website, events and/or conferences promoted, presented or sponsored by Florida Venture Forum, Inc. (“FVF”) acknowledge and agree with the following notices, disclosures and disclaimers:
I understand, acknowledge and agree that (i) none of the FVF nor any FVF members, affiliates, directors, officers, event or conference organizers, sponsors, coaches, participants or attendees are in any way recommending or endorsing any of the companies listed or identified on the FVF website or in any press releases, marketing materials or communications or any of the companies presenting at any FVF event or conference or any investment opportunity or business venture that may be discussed at any such event of conference, and (ii) none of the FVF nor any FVF members, affiliates, directors, officers, event or conference organizers, sponsors, coaches, participants or attendees intend in any way to solicit or induce the purchase of securities by me or my organization.

Important Notice: Although neither the FVF nor any of its members, affiliates, directors, officers or employees are authorized to offer legal (including securities or investment) advice to companies listed on the FVF website or presenting at a FVF event or conference, or any event or conference attendees, please be advised that the Securities Exchange Commission (SEC) implemented rule changes which impact commonly utilized exemptions (and related safe harbors) from registration under the federal securities laws. In general, all issuances and sales of securities (e.g., stock, partnership and/or LLC interests) in exchange for money must either be registered with the SEC or must satisfy an available exemption from registration (which is why the exemptions are so important). The SEC’s rule changes altered the regulatory landscape of offerings involving “general solicitation” of potential investors. In connection with its events and conferences, the FVF does not take any steps to confirm or ensure that attendees are or qualify as “accredited investors.” Any company planning or proposing to offer, issue or sell securities should consult with experienced securities counsel regarding the US federal securities laws, SEC rules, state securities laws and regulations, available registration exemptions and related planning, preparations, documentation and execution of offering and capital raising activities.
