The following terms and conditions (the “Terms and Conditions”) govern your use of the website www.flventure.org of the Florida Venture Forum, Inc. (the “FVF Website”).
Throughout these Terms and Conditions the words “FVF”, “we,” “our,” or “us” refer to the Florida Venture Forum, Inc.
Agreement Between User and Florida Venture Forum, Inc.
The FVF Website is owned and operated by FVF. Use of the FVF Website is offered to you, the user (hereinafter “you”), on the precondition that you accept (without modification) the terms, conditions and notices contained herein. Use of the content, services, and/or products presented in any and all areas of the FVF Website constitutes your agreement to abide by these Terms and Conditions and the terms and conditions posted in specific areas of those sites. FVF may revoke your ability to use the FVF Website at any time and for any reason (or no reason). When we modify these Terms and Conditions, we will update the “Effective Date” above. Your use of the Website constitutes your acceptance of these Terms and Conditions and your use of the FVF Website following the posting of updated terms and conditions constitutes your acceptance of such updated terms and conditions.
The FVF Website Privacy Policy
Your use of the FVF Website is subject to the terms and conditions of the FVF Website Privacy Policy (the “Privacy Policy”), which is incorporated by reference into these Terms and Conditions. You should read the Privacy Policy carefully before you use the FVF Website because by using the FVF Website you are agreeing to everything in these Terms and Conditions, including the terms of the Privacy Policy.
Children
FVF does not intentionally collect information, including Personally Identifiable Information (“PII”,as described in the Privacy Policy), from children under the age of 13. If you are a parent or guardian of a child under 13 and you think we have inadvertently collected PII from your child, you may instruct us to delete such information by emailing us at: info@flventure.org.

All content on the FVF Website is copyrighted: copyright © Florida Venture Forum, Inc. 2021, or has been copyrighted by third-party content providers (and licensed to FVF), and is protected by the copyright laws of the United States and other countries. The FVF Website is only for your personal, educational, noncommercial use. If you download any material for personal use, you must keep all copyright and other notices intact. The right to use such materials is not transferable to any other person or entity. If FVF now or in the future permits users to establish personal accounts on any FVF Website, you are (or will be) responsible for all use of your account (under any screen name or password), the protection of any user name and password, and for ensuring that all use of the FVF Website through your account complies fully with the provisions of this Agreement. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, or other content, software, products or services obtained from the FVF Website. In addition, the information may not be taken out of context or presented in an unfair, misleading or discriminatory manner.
Photographs and Videos
You agree FVF shall own all rights, including copyrights, to any photo or video of you taken or recorded by FVF or its agents at any FVF event or conference, and FVF shall own all rights to use any photo or video you submit to FVF for use on the FVF Website or in marketing and promotion material and communications FVF may post or transmit to the media or other third parties for the purpose of promoting the FVF and its events and conferences.

Use of This Site is at Your Own Risk
The FVF Website may contain advice, opinions and statements of various information providers and content providers. FVF does not represent or endorse the accuracy or reliability of any advice, opinion, statement or other information provided by any information provider or content provider, or any user of these sites or other person or entity. Reliance upon any such opinion, advice, statement, or other information shall also be at your own risk. You agree that neither FVF nor its affiliates, nor any of their respective members, directors, officers, agents, employees, information providers or content providers shall be liable to you or anyone else for any inaccuracy, error, omission, interruption, timeliness, completeness, deletion, defect, failure of performance, computer virus, communication line failure, alteration of, or use of any content herein, regardless of cause, or for any damages resulting therefrom.
Use of Bulletin Boards, Chat Rooms and Forums
Certain portions of the FVF Website or FVF conference applications may permit the use by you of Chatrooms, Forums, Bulletin Boards and/or Guestbooks. FVF does not control or regularly review the messages, information or files delivered to the Guestbooks and/or Bulletin Boards on the FVF Website or any FVF conference application (or “app”), nor does FVF moderate Chatrooms (if any) or Forums (if any). It is a condition of your use of the Guestbooks, Bulletin Boards, Chat Rooms (if any), Forums (if any) (collectively, “Public Areas”) and the FVF Website that you do not upload to, post, distribute or transmit to or through these sites any messages, information or materials (“User Submission”): (i) that violate or infringe in any way the intellectual or personal rights of others, or which are libelous, defamatory, obscene, pornographic, threatening, abusive, unlawful or would otherwise violate any law, or encourage such conduct, or (ii) that, without the FVF’s express prior written consent, contain advertising or any commercial solicitation. It is also a condition of your use of the Public Areas and the FVF Website and any FVF application that you not post or transmit any material that contains a virus or other harmful component; restrict or inhibit anyone from using and enjoying the bulletin boards.
FVF has no responsibility for the content of any User Submissions uploaded, posted, distributed, or transmitted by users of the FVF Website or any FVF app, whether via Public Areas or otherwise. However, FVF retains the right, but not the obligation in its sole discretion, to delete or refuse to post any User Submission or third-party content which FVF deems to be objectionable and/or in violation of these Terms and Conditions, or for any other reason. FVF reserves the right to disclose any information as necessary to comply with any law, regulation or governmental request, as provided for in the Privacy Policy.
By submitting User Submissions, suggestions, and material to any Public Area or other area of any FVF Website or FVF app, you are granting FVF a perpetual royalty-free, worldwide license to reproduce, edit, modify, publish, transmit and display, transmit, create derivative works from, distribute or perform it in whole or in part or incorporate it in any form, medium or technology now known or later developed.
You agree to indemnify and hold harmless FVF and all of its members, officers, directors, employees, sponsors, speakers, moderators, panelists, presenting or featured companies, authorized representatives and agents from and against all claims and expenses, including attorneys’ fees, arising out of any User Submissions, messages, information or materials uploaded, posted, distributed, or transmitted to or though the FVF Website or FVF app by you or through your account or any user ID you may establish.
If such features exist on the FVF Website or FVF app, you agree to send and receive electronic mail, engage in conferences and chats, download and upload files, and otherwise use the FVF Website and FVF app only as permitted by these Terms and Conditions (as the same may be amended from time to time), any additional policies or procedures published in the FVF Website from time to time by FVF, and applicable law.
Digital Millennium Copyright Act
A. Notification. If you are a copyright owner or an agent thereof and believe that any User Submission or other content infringes upon your copyright, you may submit a written notification pursuant to the Digital Millennium Copyright Act (“DMCA”) (see 17 U.S.C. 512(c)(3) for further information) by providing our Copyright Agent (listed below) with the following information: (i) an electronic or physical signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (ii) a description of the copyrighted work claimed to have been infringed or if multiple copyrighted works are covered by a notification, a representative list of such works at our Site; (iii) a description of the location on the FVF Website of the allegedly infringing material(s); (iv) your address, telephone number, and e-mail address; (v) a written statement that you have a good faith belief that use of the material(s) in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) a written statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Notices of alleged copyright infringement should go to the Copyright Agent; any other feedback, comments, requests for technical support, and other communications should be directed to FVF’s customer service at info@flventure.org. You acknowledge that if you fail to comply with all of the notice requirements of the DMCA, your notice may not be valid.
B. Counter-Notification. If you believe that any User Submission of yours that was removed is not infringing, or that you have the appropriate rights from the copyright owner or third party, or pursuant to the law, to post and use the material in your User Submission, you may send a counter notification containing the following information to the Copyright Agent: (i) your physical or electronic signature; (ii) identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or disabled; (iii) a statement (under penalty of perjury) that you have a good faith belief that the content was removed or disabled as a result of mistake or a misidentification of the material; and your name, address, telephone number, and e-mail address, along with a statement that you consent to the jurisdiction of the United States federal court in the commonwealth or state you are located or of the United States District Court for the Southern District of Florida and a statement that you will accept service of process from the person who provided notification of the alleged infringement.
If a counter notification is received by the Copyright Agent, FVF shall send a copy of such counter notification to the original notifying party. The original notifying party shall have ten (10) business days to file an action for copyright infringement and seek a court order against the content provider or user posting such material. If no such infringement action is filed within such 10 business days, FVF may, in its sole discretion, reinstate the removed material or cease disabling such material.
C. In accordance with the DMCA and other applicable law, FVF shall, in appropriate circumstances, terminate access, at FVF’s sole discretion, of any user that FVF finds to be a repeat infringer of others copyrights. FVF may also, in its sole discretion, limit or fully terminate access to the FVF Website and any FVF app of any user infringing the intellectual property rights of others, regardless of whether such user is repeat offender or not.
Links to Third-Parties’ Website
The FVF Website may contain links and pointers to websites maintained by third parties. FVF does not operate or control in any respect any information, products or services on such third-party websites. Third-party links are included solely for the convenience of users, and do not constitute any endorsement by FVF and/or its members, directors, officers, employees, suppliers, presenting companies, featured companies, sponsors, speakers, moderators or panelists. You assume sole responsibility for the use of third-party links, and the disclaimers set forth herein are equally applicable to such third-party websites. Except for such disclaimers, you agree that these Terms and Conditions are not applicable to any website other than the FVF Website. You are strongly encouraged to review any third-party website’s terms of use and privacy policy.
Third-Party Content
FVF is a distributor with regard to content supplied by third-party suppliers and users. Therefore, FVF has no more editorial control over such content than a bookstore or newsstand does over the reading materials it sells. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including information providers and users are those of the respective author(s) or distributor(s) and not of FVF.
Modification
FVF shall have the right, at its discretion, to change, modify, add or remove provisions from these Terms and Conditions at any time without notice. Changes shall be effective immediately. You agree to review these Terms and Condition periodically. You agree that subsequent use by you of the FVF Website or any FVF app following any such changes shall constitute your acceptance of any such changes. FVF shall have the right at any time to change or discontinue any aspect of any FVF Website or any FVF app, including, but not limited to, the Public Areas, content, hours of availability and equipment needed for access to use.
Indemnity/Limitation of Liability
UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL FLORIDA VENTURE FORUM, OR ITS AFFILIATES, MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, AND SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE FVF WEBSITE OR THE CONTENT CONTAINED THEREIN. YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT FVF AND SUCH RELATED PARTIES ARE NOT LIABLE FOR ANY CONDUCT OF ANY USER OF THE FVF WEBSITE.
AS A CONDITION OF USE OF THE FVF WEBSITE AND ANY FVF APP, YOU AGREE TO HOLD HARMLESS AND INDEMNIFY FVF AND ITS AFFILIATES, MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, AND SUPPLIERS FROM AND WITH RESPECT TO ANY AND ALL LIABILITIES, EXPENSES (INCLUDING ATTORNEYS’ FEES) AND DAMAGES ARISING OUT OF CLAIMS RESULTING FROM YOUR USE OF THE FVF WEBSITE, INCLUDING WITHOUT LIMITATION ANY CLAIMS ALLEGING FACTS THAT, IF TRUE, WOULD CONSTITUTE A BREACH BY YOU OF THESE TERMS AND CONDITIONS. IF YOU ARE DISSATISFIED WITH ANY FVF MESSAGES, INFORMATION OR MATERIAL ON ANY OF THE FVF WEBSITE, OR WITH ANY OF FVF TERMS AND CONDITIONS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE FVF WEBSITE.
Exclusions and Limitations; Consumer Protection Notice.
If you are a consumer, the provisions in these Terms and Conditions are intended to be only as broad and inclusive as is permitted by the laws of your state of residence. Certain states, like New Jersey, have heightened consumer protection laws that may make certain terms of these Terms of Conditions inapplicable to you. Specifically, if you are a New Jersey consumer, the certain terms do not limit or waive your rights as a consumer under New Jersey law and the provisions in these Terms and Conditions are intended to be only as broad and inclusive as is permitted by the laws of the State of New Jersey. No provision of these Terms and Conditions shall limit or waive your rights as a consumer under the law of your state of residence. In any event, FVF reserves all rights, defenses and permissible limitations under the law of your state of residence.
General
The validity, applicability and interpretation of these Terms and Conditions, is governed by the laws of the State of Florida. By entering any FVF Website, each entrant (and if the entrant is under 18 years of age, the entrant’s parent or legal guardian) agrees: (i) to be bound by these Terms and Conditions and FVF’s Privacy Policy. Any claims relating to any FVF website must be resolved in the state or federal courts of Florida.
FVF reserves the right to deny access to the FVF Website to anyone at any time.
These Terms and Conditions, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by FVF without restriction. Assignments made without FVF’s consent are void.

The website www.flventure.org and any other website or application on which we have posted a link to this page (the “Website”) is owned and operated by the Florida Venture Forum, Inc. (“FVF,” “we,” “our,” or “us”). This Privacy Policy applies to our collection, storage, use and dissemination of information gathered from online visitors to the Website [and to companies listed on our Website, presenting at FVF sponsored events or conferences, and to attendees at our FVF sponsored events and conferences]. By visiting the Website, you agree that your visit and any dispute over our online privacy practices is governed by this Privacy Policy and our Terms and Conditions of Use.
BY PROVIDING INFORMATION TO FVF VIA THIS WEBSITE, YOU ARE DEEMED TO CONSENT TO THE COLLECTION, STORAGE, USE AND DISSEMINATION OF SUCH INFORMATION AS DESCRIBED IN THIS PRIVACY POLICY.
Information Collected by FVF and How it is Regularly Used and Shared
A. Why, When and What Personally Identifiable Information is Collected
FVF collects information that individual visitors provide voluntarily. Some of this information is collected because it is useful in connection with FVF’s objectives, which include:
- organizing venture capital related events and conferences;
- providing an application and registration process for attendance at FVF events and conferences; and
- providing opportunities for networking between entrepreneurs and potential investors.

In connection with your use of the Website and your attendance at FVF events and conferences, FVF may collect and store “Personally Identifiable Information” or “PII”. Pll is information that can be used to identify you specifically, such as your name, employer, physical address, email address, telephone number, fax number, picture, and education and work history. The FVF does not store credit card data or payment information other than to record confirmation of payments. The FVF currently uses Moolah Payments to process credit card payments for sponsorships and registration fees. The privacy policy for Moolah Payments can be accessed via this link: https://www.moolah.cc/privacy-policy/. The FVF also uses Stripe to process credit card payments for sponsorships and registration fees. The privacy policy for Stripe can be accessed via this link: https://stripe.com/privacy.
FVF may collect and store PII in various places throughout the Website and in our files, including in connection with an application to attend a FVF event or conference, to present at a FVF event of conference, or your services on a FVF board of directors or a committee of the board of directors, each as described in further detail below. Pll may also be collected and stored if you provide it elsewhere in the course of a visit to the Website, such as while making a contribution to FVF, or in connection with a request for information from FVF.
In addition to the uses described below, we may use your Pll to:
- notify you of upcoming conferences, meetings and other events;
- contact you to respond to your questions and requests for information; and
- provide you with other information that we believe may be of interest to visitors to our website.
i. Conference Application and Admission Processes
If you apply to attend a conference, we will collect Pll to facilitate that process. Such information may include your contact details, such as your name, employer, physical address, email address, telephone number and fax number. This is so that we can contact you and process your application. In addition, the Pll requested may include your educational background and work history (including degrees received, positions held, awards and honors received) and publications in the relevant field. This is so that you can be considered for admission to a FVF event or conference as a presenting company or to have your company listed on our Website.
If your application to register for an event or conference is accepted, you are expected to register and to pay immediately to confirm your attendance. Payments will be processed through Moolah Payments, Stripe, or QuickBooks. To facilitate payment, FVF collects your payment and billing information — e.g., your credit card number and billing address — and will use such information to process your payments.
If you register to attend a FVF event or conference, as a presenter, sponsor, speaker, or attendee, we will use your Pll to:
- process your registration and facilitate your attendance at the events or conferences;
- process your payments related to event or conference attendance as aforesaid;
- provide you with information regarding the event or conference, including scheduling and logistics; and
- provide you with other information that we believe may be of interest to conference presenters or attendees.
We also may share Pll (other than payment information) of conference attendees with the other persons attending the same conference. The purpose of this is to enable conference attendees to contact each other prior to and after the conference, for networking purposes, in furtherance of one aspect of the FVF’s mission.
ii. Service on a FVF Board or Committee, or as a Speaker, Panelist, or Presenting Company
If you agree to serve on a FVF Board or Committee, to Chair, Vice Chair or speak at a FVF event or conference as a speaker, moderator or panelist, or to list your company’s information on our Website, or to present your company at a FVF event or conference, PII we collect may include your name, employer, physical address, email address, telephone number and fax number, and other information you provide as to your resume and background. We also may request more detailed information regarding your educational and professional background, and we may also request a photograph.
We collect this information to make it available to conference applicants and attendees, and to those interested in learning more about FVF and the networking events and conferences FVF organizes.
Accordingly, if you agree to serve on a FVF Board or Committee, to chair, vice chair or to speak at a FVF event or conference as a speaker, panelist or moderator, we may post your PII on the relevant page of the Website, such as your name, employer, physical address, email address, telephone number and fax number, and your photograph if you have provided one. This is so that visitors to the Website, including conference applicants, attendees and speakers, and those interested generally in the FVF, can contact you with questions and requests for more information, and to provide feedback.
We also take photographs and record videos of our events and conferences, and we may use such photographs and videos of you and anyone who attends our events and conferences on our Website and in communications to market and promote our events and conferences.
B. Why, When and What Usage Data is Collected
In addition to the information that users of the Website provide voluntarily, FVF may automatically collect certain information when you visit or use our Website. This information may include your IP address (or other unique device identifier, including one that we may assign); certain details about your browser, operating system, and hardware; your location, if available; the URL that referred you to the Website; your activities on the Website, including your preferences; and other logging information, such as the date and time of your visit. We may use a variety of tracking technologies to automatically collect information, such as cookies, web beacons, embedded scripts, browser fingerprinting, GPS, iBeacons, and ETags (or “entity tags”).
i. Cookies
“Cookie” technology helps FVF to simplify visitors’ interactions with the Website. A cookie is a very small amount of information that is placed on your computer’s hard drive by your browser on FVF’s behalf. It is sent by your browser back to FVF when your return to the Website.
You may always choose not to receive a cookie by enabling your web browser to refuse cookies or to prompt you before your browser accepts a cookie. By refusing to accept a cookie, you may be asked to enter certain information each time you access certain areas of the Website. In addition, for marketing purposes, we may review specific paths that you or an aggregate of customers have traveled through the Website.
All web servers log certain technical information from visitors each time they request a page. We may aggregate such logged information anonymously to assist in designing enhanced user experiences and easier access to our information and services.
C. Third-Party Tracking and Do Not Track
Third parties may use tracking technologies in connection with our Website, which may include the collection of information about your online activities over time and across third-party websites. This Privacy Policy does not apply to these third-party technologies because we may not control them and we are not responsible for them. Do Not Track is a technology that enables users to opt out of tracking by websites they do not visit. Currently, we do not monitor or take any action with respect to Do Not Track technology.
Additional Ways Your Pll may be Used and Shared
A. Use and Sharing Required by Law, to Prevent Harm and/or in Investigations
In addition to the uses and dissemination of Pll described above, FVF may disclose your PII, the contents of your communications with us, and/or other information you have provided to us (including payment information) if required to do so by law, or with your consent, or in the good faith belief that such action is necessary: (1) to conform to applicable law or comply with legal process served on FVF; (2) to protect or defend the rights or property of FVF or others; (3) to assist, under exigent circumstances, in the investigation of possible violations of law or other investigations; and/or (4) to assist law enforcement in preventing harm to anyone.
B. Sale of Pll
FVF does not sell or rent visitors’ Pll to anyone; however, we do provide PII to other users of our Website and other attendees at our events or conferences as described above, to further the networking goals of FVF.
Notice to Non-U.S. Website Users
If you are from a non-U.S. country, please be aware that the information you submit, including information provided in an online event or conference application, is being sent to a location in the United States. By providing such information, you are consenting to (and represent that you have authority to consent to), the transfer of such information to the United States for the uses and purposes described in this Privacy Policy.
If you are a Website user from the European Union or the United Kingdom, upon request, free of charge, you have the right to:
A. access and obtain a copy of the PII we hold about you;
B. obtain information about the purposes for which we process your PII and the categories of PII concerned;
C. obtain information on the recipients or categories of recipients (including international recipients) to whom your PII has been or will be disclosed;
D. transfer of your PII from us to another data controller;
E. in certain circumstances, erasure of all PII we hold about you;
F. lodge a complaint to the supervisory authority in your jurisdiction in respect of our collection or use of your PII; and
G. withdraw your consent to our collection, use, storage, and dissemination of your data at any time.
Please be aware that any request for withdrawal of consent under item (G) above will not affect the lawfulness of PII collected, processed, and transferred prior to the date of such withdrawal of consent.

How You Can Control the Use of Your PII

FVF implements reasonable technical and organizational measures designed to protect your Pll from accidental loss and from unauthorized access, use, alteration or disclosure.
